CCP Approves Privatization of PIA Under Competition Review

The Competition Commission of Pakistan (CCP) has approved the acquisition of Pakistan International Airlines Corporation Limited, commonly known as PIA, under its Phase-I competition review. The decision was made under Section 11 of the Competition Act, 2010.

This approval is part of the government’s ongoing privatization program. The buyer is M/s PIA Equity Limited, a Special Purpose Vehicle formed by a private consortium. The approval marks a major step in the planned restructuring of PIA.

The consortium includes several major Pakistani companies. These are Arif Habib Corporation Limited, Fatima Fertilizer Company Limited, Lake City Holdings, City Schools, and AKD Group Holdings. The group successfully won the bidding process conducted by the Privatization Commission.

The CCP reviewed the transaction across multiple aviation-related markets. These included domestic and international passenger services, cargo transport, postal services, and technical aviation support.

According to the CCP, the aviation sector remains highly competitive. International routes are served by major airlines such as Emirates, Qatar Airways, and Etihad Airways. This strong competition limits dominance by any single airline, including PIA.

In the domestic market, competition is also active. Airlines such as Airblue, AirSial, Fly Jinnah, and Serene Air operate on key routes across Pakistan. This gives passengers multiple travel options.

The commission noted that PIA has seen a gradual decline in market share over time. This is due to operational and financial challenges. Despite this, competition in the sector remains strong and balanced.

The transaction was classified as a conglomerate merger. This is because the acquiring consortium does not directly compete with PIA in the same market. No horizontal or vertical overlaps were identified during the review.

After detailed assessment, the CCP concluded that the deal does not create a dominant position. It also does not reduce competition in the aviation sector. Therefore, the acquisition of PIA was approved under competition laws.

Officials said the privatization of PIA is expected to improve efficiency and service quality. It may also reduce the airline’s reliance on government support.

However, the approval is only from a competition standpoint. The deal still requires other regulatory and legal clearances before completion.
