PTCL Shareholders Approve Telenor Pakistan, Orion Towers Acquisition With $400M Financing

Pakistan Telecommunication Company Limited (PTCL) shareholders have approved the company’s acquisition of 100% shares in Telenor Pakistan (Private) Limited and Orion Towers (Private) Limited. The approvals mark a major consolidation in Pakistan’s telecom sector.

The decisions were made at PTCL’s 9th Extraordinary General Meeting held on November 20, 2025. The resolutions authorize PTCL to acquire all shares of both Telenor Pakistan and Orion Towers from Telenor Pakistan BV. The deal is based on a share purchase agreement signed in December 2023.

In addition to the acquisitions, shareholders approved PTCL’s plan to secure up to $400 million in financing. The funding will be provided by the International Finance Corporation (IFC), Silk Road Fund (SRF), British International Investment (BII), and other potential lenders.

The financing will be structured under a Common Terms Agreement dated June 27, 2024. PTCL’s board of directors has been given full authority to execute all required steps, including obtaining regulatory approvals and appointing advisors to complete the transactions.

The meeting also ratified all previous board resolutions related to the acquisitions and financing. PTCL said these measures will strengthen its position in Pakistan’s telecom market and expand its infrastructure.

These strategic acquisitions aim to enhance network coverage, improve service quality, and support future growth in both consumer and enterprise segments. PTCL expects the transactions to consolidate its leadership in the fast-evolving telecom sector of Pakistan.
